Terms of Service

These terms govern access to and use of the FishMem website, dashboard, APIs, documentation, and related services.

1. Contracting provider

These terms are between you and BLENDDUCK LLC, the provider identified for the hosted service at checkout, on an order form, or on a billing receipt. If an order form or written enterprise agreement conflicts with these online terms, the signed agreement controls for the conflicting subject.

2. Eligibility and acceptance

You must be at least 18 years old and capable of forming a binding contract to use FishMem. If you use the service for an organization, you represent that you have authority to bind it. By accessing or using the hosted service, you accept these terms and the Privacy Policy.

3. Accounts and registration

Some features require an account. You must provide accurate, current, and complete information, keep credentials secure, protect API keys, and promptly notify us if you believe your account or keys have been accessed without authorization. You are responsible for activity that occurs through your account.

4. Service scope and availability

FishMem provides hosted memory and document APIs, projects, organizations, API keys, asynchronous operations, dashboard tooling, metering, billing, and related workflows. Features identified as preview or beta may change and are not covered by a service-level commitment. Any uptime, support, retention, or security commitment applies only when it appears in a signed order or plan description.

5. Payments, credits, taxes, and refunds

Paid plans, billing periods, included credits, overages, and renewal terms are shown at checkout. Fees are charged through the payment processor and are exclusive of applicable taxes unless stated otherwise. You authorize recurring charges until cancellation. Except where law or checkout terms require otherwise, fees and consumed credits are non-refundable; cancellation stops future renewal and does not erase accrued charges.

6. Customer content

You retain your rights in inputs, memories, documents, metadata, and outputs submitted through your account. You grant BLENDDUCK LLC a limited license to host, copy, transmit, transform, index, retrieve, and display that content only as needed to provide, secure, support, and legally operate the service. You are responsible for the content, its accuracy, and all rights, notices, consents, and legal bases required to process it.

7. Privacy and data roles

We process personal information as described in the Privacy Policy. When a customer determines the purpose and means of processing personal data in memory or document content, the customer is the controller or business and we act as its service provider or processor to the extent required by applicable law. Additional regulated-data or data-processing terms apply only when agreed in writing.

8. Sensitive materials

You are responsible for ensuring that your application has appropriate rights, notices, consents, and legal basis for any personal or sensitive data sent to the memory API. Do not send prohibited or regulated data unless your plan and written agreement explicitly allow it.

9. Acceptable use

You may not use FishMem for unlawful, harmful, exploitative, infringing, deceptive, non-consensual, or abusive activity; malware; credential theft; unauthorized surveillance; or material that violates another person's rights. You may not bypass rate limits, probe or defeat security controls without written authorization, exploit credit or billing logic, access another account, resell access without permission, or disrupt the service.

10. Third-party services

FishMem relies on third-party model providers, identity providers, hosting providers, analytics services, and payment processors. Your use of those integrations may be subject to separate third-party terms, policies, technical limits, output restrictions, and availability. We are not responsible for third-party services that we do not control.

11. Open source and service intellectual property

The separately distributed FishMem open-source software is governed by its Apache-2.0 license. These terms govern the hosted service, not rights already granted by that license. The hosted interface, branding, documentation, and non-open service components belong to BLENDDUCK LLC or its licensors. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the hosted service during your subscription.

12. Suspension, termination, and export

You may stop using the service or cancel renewal through the available account or billing controls. We may limit or suspend access to address security threats, nonpayment, legal requirements, service risk, or a material violation. When reasonably possible, we will give notice and an opportunity to cure. Export eligible data before closing an account; deletion and backup handling follow the Privacy Policy. Accrued fees and provisions that by nature should survive remain effective.

13. Warranty disclaimer

FishMem is provided on an as-is and as-available basis. To the maximum extent permitted by law, BLENDDUCK LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Retrieval and model output may be incomplete or incorrect and must be reviewed for high-impact uses.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or business opportunity. The aggregate liability of BLENDDUCK LLC arising from the hosted service will not exceed the greater of US$100 or the fees you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where law prohibits them.

15. Indemnification

To the extent permitted by law, you will defend and indemnify BLENDDUCK LLC and its personnel against third-party claims arising from your customer content, your application's use of the service, your violation of these terms, or your infringement of another person's rights, except to the extent caused by our breach, negligence, or willful misconduct.

16. Force majeure and severability

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor disputes, internet outages, infrastructure failures, provider outages, or government actions. If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

17. Governing law and disputes

These terms are governed by Delaware, USA, without regard to conflict-of-law rules, except that mandatory consumer protections continue to apply. Any forum, arbitration process, or venue stated in a signed order controls; where none is stated, the courts with jurisdiction over BLENDDUCK LLC will have exclusive jurisdiction to the extent permitted by law.

18. Changes to these terms

We may update these terms from time to time. When we do, we will post the revised version on this page and update the effective date. Your continued use of FishMem after updated terms take effect constitutes acceptance of the revised terms.
